Terms of Service

These Terms of Service ("Terms") govern your use of the Strathon website at getstrathon.com and, where applicable, the Strathon managed cloud. By using the website or service you agree to these Terms. The open-source software is governed primarily by its open-source licenses, described below.
1. The open-source software
Strathon is licensed under Apache-2.0, uniformly across all components (SDK, receiver, CLI, and dashboard). Your rights to use, modify, and distribute the software are defined by that license, available in the GitHub repository. You may self-host the software freely, without any additional terms beyond the license. Nothing in these Terms limits your rights under the open-source license.
2. Accounts
To use the managed cloud you must create an account, provide accurate information, keep your credentials secure, and be responsible for activity under your account. You must be able to form a binding contract and not be barred from using the service under applicable law.
3. Acceptable use
You agree not to misuse the service, including by attempting to disrupt it, circumvent limits, access data you are not authorized to access, or use it to violate law or the rights of others. See the Acceptable Use Policy for specifics. We may suspend accounts that violate these Terms.
4. Fees & billing
Self-hosting is free. Paid managed-cloud plans are billed in advance on the cadence shown at purchase. Fees are non-refundable except where required by law. We may change pricing prospectively with notice. Taxes are your responsibility unless stated otherwise.
5. Your data
You retain all rights to data you submit to the managed cloud. You grant us a limited license to process that data solely to provide the service, as described in the Privacy Policy and DPA. We do not use your agent telemetry to train models.
6. Intellectual property
Except for the open-source software (governed by its licenses) and your data, the service, website, and Strathon trademarks are owned by Strathon. These Terms grant no rights to our trademarks.
7. Third-party services
The service may interoperate with third-party tools and frameworks. We are not responsible for third-party services, and your use of them is governed by their terms.
8. Disclaimer of warranties
To the maximum extent permitted by law, the website and service are provided "as is" and "as available" without warranties of any kind, express or implied. The open-source software is provided under the disclaimers in its respective licenses. Strathon is a security control, not a guarantee; no firewall blocks every possible attack.
9. Limitation of liability
To the maximum extent permitted by law, Strathon will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability for the managed cloud is limited to the amounts you paid in the 12 months preceding the claim.
10. Indemnity
You agree to indemnify and hold Strathon harmless from claims arising out of your misuse of the service or violation of these Terms or applicable law.
11. Term & termination
You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On termination of a managed-cloud account, we will make your data available for export for a reasonable period, then delete it per our retention practices.
12. Governing law & dispute resolution
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms, including any question about their existence, validity, or termination, will be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules then in force, with the seat of arbitration in Singapore, conducted in English before a single arbitrator. The award is final and binding on both parties.
Strathon is currently an open-source project operated by an individual based in India and is not yet incorporated as a company. This clause will be updated if and when a legal entity is formed, at which point the governing law may move (for example, to Delaware). Nothing here deprives you of the protection of mandatory consumer-protection or data-protection laws of your country of residence, such as the GDPR, UK GDPR, CCPA/CPRA, or the DPDP Act, which continue to apply where they apply by their own terms.
13. Changes
We may update these Terms. Material changes will be indicated by the "Last updated" date and, where appropriate, additional notice. Continued use after changes constitutes acceptance.
